These Terms of Use govern your access to and use of the Materials Engine website and platform (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you should not use the Services.

Materials Engine (“Materials Engine”, “we”, “us”, or “our”) provides scientific and engineering software tools, including physics-informed machine learning models and related services, for professional and commercial use.

Use of the Services

You may use the Services only in accordance with these Terms and all applicable laws and regulations. You agree not to misuse the Services, interfere with their normal operation, attempt to gain unauthorised access to any part of the platform, or use the Services in a way that could harm Materials Engine or other users.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must provide accurate information and keep it up to date.

We may suspend or restrict access to the Services if we reasonably believe there has been a breach of these Terms or misuse of the platform.

Intellectual Property

All content, software, models, algorithms, designs, branding, and materials provided through the Services are owned by or licensed to Materials Engine and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes. You may not copy, modify, distribute, reverse engineer, decompile, create derivative works from, or otherwise exploit any part of the Services unless expressly permitted in writing.

You retain ownership of any data, files, or materials that you upload to the platform (“User Content”). By uploading User Content, you grant us a licence to host, process, and use that content as necessary to provide the Services.

Platform Outputs

The Services may generate simulation outputs, model predictions, or engineering insights. These outputs are provided as computational tools to support professional decision-making.

You are solely responsible for evaluating and validating outputs before relying on them in any real-world application. Materials Engine does not guarantee that outputs will be error-free, complete, or suitable for any particular purpose.

Confidentiality

Both parties may receive confidential information in connection with the Services. Each party agrees to protect the other’s confidential information using reasonable safeguards and not to disclose it except as necessary to perform under these Terms or as required by law.

Data Protection

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

Availability and Changes

We may modify, update, or discontinue any part of the Services at any time. We do not guarantee uninterrupted or error-free operation. Maintenance, updates, or technical issues may result in temporary unavailability.

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

Disclaimers

The Services are provided “as is” and “as available” to the fullest extent permitted by law. Materials Engine disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Limitation of Liability

To the maximum extent permitted by law, Materials Engine shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm arising out of or related to your use of the Services.

Our total aggregate liability in connection with the Services shall not exceed the amount paid by you (if any) to Materials Engine in the twelve months preceding the claim.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably determine it is necessary to protect the integrity or security of the platform.

Upon termination, your right to use the Services will cease, but provisions relating to intellectual property, confidentiality, disclaimers, and limitations of liability will continue to apply.

Governing Law

These Terms are governed by the laws of [England and Wales], and any disputes arising in connection with them shall be subject to the exclusive jurisdiction of the courts of [England and Wales], unless otherwise required by applicable law.
